Welcome to FYIRWA TRADING’s Multi-Vendor Marketplace (hereinafter referred to as the “Platform”). We are grateful for your choice to explore or engage with our Platform. The following Terms and Conditions (collectively referred to as “Terms”) will serve as a comprehensive guideline for your use and interaction with the Platform, whether you decide to join us as a Vendor, a Customer, or simply as a Visitor browsing through our extensive range of offerings.
By registering for an account, navigating through our diverse services, or completing a purchase transaction, you are indicating your acceptance and agreement to be bound by these Terms. If you do not wholly or partially agree to these Terms, we kindly request that you discontinue your use of the Platform immediately to avoid any potential confusion.
1. Definitions
To ensure clarity and avoid any misunderstandings, the terms outlined below are defined specifically as follows:
– “Platform”: This term refers to the online marketplace operated by FYIRWA TRADING, which is designed to facilitate seamless and effective transactions between Vendors and Customers.
– “Vendor”: A registered seller on the Platform, who offers a variety of products and/or services for sale to interested Customers.
– “Customer”: Any buyer who makes a purchase of products and/or services through the Platform, whether they are a registered user or a guest.
– “Visitor”: This refers to any individual who browses the Platform but does not engage in any purchases or create an account.
– “Order”: This term represents a confirmed purchase transaction that has been facilitated between a Customer and a Vendor.
– “Content”: This encompasses any form of text, images, videos, product listings, customer reviews, or any other data that is either uploaded by users or generated within the Platform.
2. Account Registration & User Responsibilities
A. General Requirements
– All users engaging with the Platform must be at least 18 years of age or have reached the legal age of majority as defined by the laws of their jurisdiction of residence.
– User accounts must contain accurate, complete, and up-to-date information. Any failure to maintain accurate data may lead to restricted access or even termination of your account.
– Users are also responsible for safeguarding their account credentials, which include passwords and any two-factor authentication (2FA) mechanisms. Any security breaches that arise from negligence will not render FYIRWA TRADING liable for the consequences.
– Certain actions are strictly forbidden on the Platform:
– Creating fraudulent or misrepresentative accounts that serve no legitimate purpose.
– Impersonating another individual, entity, or organization in any capacity.
– Employing bots, automated scrapers, or similar electronic tools to extract data from the Platform in an unauthorized manner.
– Sharing account access with individuals who are not authorized users.
B. Vendor-Specific Obligations
– Vendors must possess valid business registration and documentation whenever applicable, in strict adherence to local laws and regulations.
– It is the sole responsibility of Vendors to upload accurate and truthful product listings. This includes detailed aspects such as descriptions, pricing, stock levels, and any defects or limitations associated with their offered products.
– Vendors are obligated to comply with all consumer protection laws, which encompass provisions for refunds, warranties, and ensuring the fair treatment of Customers at all times.
– Vendors are strictly prohibited from marketing or selling illegal, counterfeit, restricted, or otherwise non-compliant items on the Platform.
C. Customer-Specific Obligations
– Customers must ensure they enter proper and verified shipping addresses alongside accurate payment information when making purchases through the Platform.
– We encourage Customers to carefully review product details, Vendor ratings, and customer reviews thoroughly before making any purchase decisions.
– Engaging in fraudulent behavior, such as filing false disputes or unwarranted chargebacks, is strictly prohibited and may lead to account suspension or potential legal action.
3. Product Listings & Sales
A. Vendor Responsibilities
– Listings made by Vendors must accurately reflect the products being sold. This includes, but is not limited to, detailed descriptions, high-quality images, correct pricing data, and an acknowledgment of any defects or specific conditions associated with the product.
– Vendors are required to honor all promotional offers, discounts, or deals that are displayed on the Platform and must ensure pricing integrity at all times.
– The manipulation of prices, inflation of discounts, or engagement in deceptive promotions is strictly forbidden on the Platform.
– Vendors must adhere to the indicated shipping and order fulfillment timelines that have been provided in their listings.
B. Prohibited Items
Vendors are strictly prohibited from listing or selling any of the following items on the Platform:
– Counterfeit, pirated, or unauthorized replicas of trademarked products, or any other items that infringe upon intellectual property rights.
– Firearms, addictive drugs, or any other illegal substances that violate local or international laws.
– Adult content unless it has been explicitly approved and is in full compliance with Platform guidelines and applicable regional laws.
4. Payments, Fees & Refunds
A. Payment Processing
– To ensure secure transactions, all payments made through the Platform are processed through reliable and trusted third-party payment gateways. These may include services like PayPal, Stripe, and various bank transfer options.
– It is important to note that FYIRWA TRADING does not store any sensitive credit card or payment details on its systems for security and privacy reasons.
B. Vendor Fees & Commissions
In order to maintain and continually enhance the services provided by the Platform, FYIRWA TRADING may impose the following types of fees on Vendors:
– Listing Fees: Applicable for the uploading of any product or service listings on the Platform.
– Transaction Fees: A percentage charge applied to every sale made through the Platform, which may vary based on the type of sale.
– Subscription Fees: Charges associated with premium accounts that offer additional value-added features and benefits for enhanced functionality.
C. Refunds & Returns
– Customers wishing to request refunds are required to initiate this process directly with the relevant Vendor, who is expected to follow their stated return policies accordingly.
– Vendors must prominently outline their return and refund policies (e.g., “7-day returns” or “final sale” terms) directly on their product listings for transparency.
– While FYIRWA TRADING may opt to mediate disputes between Customers and Vendors, it does not guarantee a resolution nor assume liability for any refunds or reimbursements issued under such circumstances.
5. Shipping & Order Fulfillment
A. Vendor Responsibilities
– Vendors must provide accurate shipping details, which should also include tracking information (if applicable), upon the fulfillment of any order placed.
– All shipments must be dispatched within the stated processing timeframe as outlined in the product listing. Adherence to these timelines is crucial for customer satisfaction.
– Vendors bear full accountability for any issues that may arise, such as lost or damaged shipments, unless customers have specifically opted for insurance coverage at the time of purchase.
B. Customer Responsibilities
– Customers are responsible for supplying an accurate and complete shipping address to facilitate error-free delivery of their purchased products.
– Upon receipt of goods, it is the Customer’s responsibility to promptly inspect the delivery and report any damage, defect, or discrepancy within 48 hours of receipt to ensure a timely resolution.
6. Intellectual Property & Content
A. Vendor-Generated Content
– Vendors retain ownership rights over the content they upload to the Platform, such as product descriptions and accompanying images. However, by utilizing the Platform, Vendors grant FYIRWA TRADING a perpetual, non-exclusive license to use, display, modify, and promote the content as necessary in connection with the Platform’s operations and marketing efforts.
B. Prohibited Content
Users are strictly prohibited from uploading the following types of content onto the Platform:
– Any material that is copyrighted or trademarked where proper authorization has not been obtained preceding its use.
– False, deceptive, or misleading reviews or testimonials regarding products, services, or vendors offered on the Platform.
– Spam, phishing attempts, or any forms of malicious links or content that could harm other users or the integrity of the Platform.
7. Dispute Resolution
A. Customer-Vendor Disputes
– Step 1: Customers are required to contact Vendors directly in order to resolve any disputes pertaining to their orders.
– Step 2: If a mutual resolution cannot be reached, FYIRWA TRADING may intervene to facilitate communication and assist in the mediation process but bears no legal obligation to enforce any resolutions.
– Step 3: In circumstances where disputes remain unresolved, either party reserves the right to pursue legal recourse in accordance with applicable laws.
B. Chargeback Policy
– Any unauthorized chargebacks or repeated instances of disputes initiated by Customers may lead to the suspension or permanent banning of their account from the Platform.
8. Limitation of Liability
FYIRWA TRADING shall not assume responsibility for the following circumstances:
– The quality, authenticity, or fulfillment of products sold by Vendors on the Platform.
– Errors, delays, or complications that arise due to third-party payment providers or shipping carriers.
– Any unauthorized access to user accounts that may occur due to negligence in securing personal login credentials.
9. Termination & Suspension
– FYIRWA TRADING reserves the unequivocal right to suspend or terminate any account found in violation of these Terms, with or without prior notice based on the severity of the infraction.
– Vendors with pending orders at the time of termination will be expected to ensure that all orders are completed and fulfilled prior to the closure of their account to maintain customer satisfaction.
10. Amendments & Governing Law
– FYIRWA TRADING may, at its sole discretion, modify, update, or amend these Terms as required. Continued use of the Platform following such updates will be interpreted as your acceptance of the revised Terms.
– All matters relating to these Terms shall be governed by the laws and jurisdiction of Rwanda, ensuring that any disputes or interpretations are handled in accordance with the applicable legal frameworks.
